PUBLIC OFFER AGREEMENT

Individual Entrepreneur Ivan Sergeyevich Yurchenko, TIN 773475650360, OGRNIP 323774600184296, hereinafter referred to as the Service Provider, publishes this public offer (hereinafter — the Offer) and proposes to any legally capable person (hereinafter — the Client) to enter into a paid services agreement on the terms set forth herein.
Acceptance of the Offer is made by paying the cost of participation in the seminar. Making the payment constitutes the Client's unconditional agreement to all terms of this Offer.

1. SUBJECT MATTER OF THE AGREEMENT
1.1. The Service Provider undertakes to provide the Client with services for participation in the seminar "Systemic Development of Organizations" (hereinafter — the Seminar), and the Client undertakes to accept and pay for the services.
1.2. The Seminar is conducted with the participation of invited speakers — Jan Jacob Stam and Dis van den Hoof.
1.3. Seminar dates: June 6–8, 2026.
Venue: Armenia, Yerevan.
1.4. Services are considered duly rendered and in full upon the actual completion of the Seminar.
1.5. Payment by the Client for the services constitutes acceptance of this Offer and confirmation of the conclusion of the agreement in accordance with Article 438 of the Civil Code of the Russian Federation.

2. RIGHTS AND OBLIGATIONS OF THE PARTIES
2.1. The Service Provider undertakes to:
2.1.1. Conduct the Seminar in accordance with the general program.
2.1.2. Provide the necessary materials, premises, and technical support.
2.1.3. Provide consultations on matters relating to participation.
2.2. The Service Provider has the right to:
2.2.1. Make changes to the Seminar program, schedule, structure, and format without reducing the cost of services.
2.2.2. Deny the Client participation without explanation, including for the purposes of ensuring safety and compliance with the rules of conduct.
2.2.3. Remove the Client from the event in the event of violations of the rules of conduct, displays of aggression, violation of other participants' boundaries, unauthorized photo/video recording, or obstruction of the group's work. No refund will be issued in such cases.
2.3. The Client undertakes to:
2.3.1. Pay for participation in the manner established by the Offer.
2.3.2. Independently arrange flights, accommodation, visa procedures, and other related expenses.
2.3.3. Comply with the rules of conduct, the organizers' requirements, and respect other participants.
2.3.4. Not make audio, photo, or video recordings without the consent of the Service Provider.
2.4. The Client has the right to:
2.4.1. Receive information on matters relating to participation in the Seminar.
2.4.2. In the event of material deficiencies in the services rendered, demand a reduction in cost or rectification of deficiencies.

3. PRICE AND PAYMENT PROCEDURE
3.1. The cost of participation is determined individually and indicated in the payment link sent by the Service Provider after submission of an application on the website https://systemic.business
3.2. The Service Provider is not a VAT payer (Clause 1, Article 145 of the Tax Code of the Russian Federation).
3.3. Payment is made via the provided link or by non-cash transfer to the Service Provider's bank details.
3.4. The date of payment is the date the funds are credited to the Service Provider's account.
3.5. Upon payment, the Client agrees to the terms of the Offer, the refund policy, and the Seminar rules.

4. RIGHT OF WITHDRAWAL, REFUNDS, AND RESCHEDULING
4.1. The Client may withdraw from participation by sending a written notice to the Service Provider's e-mail: aq-lab@yandex.ru
4.2. Upon withdrawal prior to the start date of the Seminar, the Service Provider refunds the amount less any actual expenses incurred.
4.3. Refund requests submitted after the Seminar has commenced will not be considered.
4.4. In the event of cancellation or rescheduling of the Seminar, the Service Provider refunds only the cost of services. Related expenses (visas, flights, accommodation, insurance, etc.) are not reimbursed.
4.5. If the Seminar cannot be held on the scheduled dates due to force majeure circumstances (border closures, political situation, illness of speakers, man-made factors, etc.), the Service Provider has the right to reschedule the Seminar to new dates without refunding payments.

5. PHOTO AND VIDEO RECORDING. INTELLECTUAL PROPERTY RIGHTS
5.1. The Service Provider has the right to conduct photo and video recording during the Seminar.
5.2. The Client grants consent to the use of their likeness in promotional and informational materials without limitation of territory or duration.
5.3. All materials received by the Client (slides, exercises, methodologies, handouts) are the intellectual property of the Service Provider and/or the speakers.
5.4. The Client is prohibited from copying, distributing, publishing, or using the materials for commercial purposes without the written consent of the rights holder.

6. LIMITATION OF LIABILITY
6.1. The Service Provider provides educational services and does not guarantee that the Client will achieve any specific result, business changes, changes in psychological state, or other aspects of life.
6.2. The Service Provider is not liable for emotional, psychological, or other subjective reactions of the Client to the content of the Seminar.
6.3. The Service Provider is not liable for the actions of third parties (hotels, airlines, visa centers, technical services).
6.4. The Service Provider is not liable for any decisions made by the Client on the basis of Seminar materials.
6.5. In the event of a violation of the rules of conduct, the Service Provider has the right to remove the Client without refunding payments.

7. CONFIDENTIALITY
7.1. Participants are obligated to maintain confidentiality regarding personal stories and information shared by other participants during group processes.
7.2. Discussion of other participants' cases outside the Seminar is prohibited.

8. PERSONAL DATA
8.1. By paying for participation, the Client consents to the processing of personal data in accordance with the Policy published on the website https://systemic.business
8.2. Personal data is used solely for the purposes of organizing the Seminar.

9. DISPUTE RESOLUTION PROCEDURE
9.1. Disputes are resolved through negotiation.
9.2. Claims are submitted in writing and considered within 10 business days.
9.3. If a dispute cannot be resolved, it shall be referred to a court at the place of registration of the Service Provider.

10. TERM OF THE OFFER
10.1. The Offer is valid until it is withdrawn by the Service Provider.
10.2. The agreement enters into force upon payment and remains in effect until the obligations of both parties are fully performed.
